Notice of Proposed Amalgamation
Pursuant to Section 221(4)(b) of the Companies Act 1993

The above-named companies give notice that in not less than 20 working days from the date of this notice, they propose to amalgamate and continue as Luxottica.

Any shareholder or creditor of either of the above-named companies or any person to whom either of the above-named companies is under an obligation:

(a) may inspect copies of the amalgamation proposal at Level 22, DLA Phillips Fox Tower, Level 22, 209 Queen Street, Auckland, during normal business hours; and

(b) is entitled to receive a copy of the amalgamation proposal free of charge upon request to any of the above-named companies.
