Seddon Vineyards of Marlborough Limited

Public Notice of Proposed Amalgamation

Pursuant to Section 221 (4) (b) of the Companies Act 1993

The board of directors of Seddon Vineyards of Marlborough Limited gives notice that it is proposed that on the 1st day of July 2006, Seddon Vineyards of Marlborough Limited will amalgamate with Terra Vitae Vineyards Limited, under Part XIII of the Companies Act 1993.

Seddon Vineyards of Marlborough Limited will be the amalgamated (or surviving) company, which will change its name to Terra Vitae Vineyards Limited on amalgamation.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of Seddon Vineyards of Marlborough Limited or Terra Vitae Vineyards Limited (together the "amalgamating companies" and each an "amalgamating company") or by any person to whom either of the amalgamating companies is under an obligation at the registered offices of the amalgamating companies during normal business hours.

Such registered offices are:

Seddon Vineyards of Marlborough Limited, 10 Birman Close, Bucklands Beach, Auckland; or

Terra Vitae Vineyards Limited, 118 Montgomerie Road, Mangere, Auckland.

Any shareholder or creditor of either of the amalgamating companies or any person to whom an amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.
