Traypac Holdings Limited and Traypac Growers Limited

Public Notice of Amalgamation Proposal

Pursuant to Section 221 (4) of the Companies Act 1993

Notice is given by Traypac Holdings Limited and Traypac Growers Limited of an amalgamation proposal affecting the companies.

It is proposed that Traypac Growers Limited amalgamate into Traypac Holdings Limited and that the two companies continue as one company, under the name Traypac Holdings Limited.

The date of the proposed amalgamation will be not less than 20 working days from the date of this notice.

Copies of the amalgamation proposal are available for inspection during normal business hours by any shareholder or creditor of Traypac Holdings Limited or of Traypac Growers Limited, or any person to whom Traypac Holdings Limited or Traypac Growers Limited is under an obligation, at the registered offices of:

Traypac Holdings Limited, at 195 Devonport Road, Tauranga; and/or

Traypac Growers Limited, at 89 Kennedy Road, Pyes Pa, R.D. 3, Tauranga.

A shareholder or creditor of Traypac Holdings Limited or of Traypac Growers Limited, or any person to whom Traypac Holdings Limited or Traypac Growers Limited is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to Traypac Holdings Limited or Traypac Growers Limited.
