CWF Holdings Limited (in liquidation)

Notice of Meeting of Creditors

Pursuant to Section 243 of the Companies Act 1993

On the 15th day of May 2005, it was resolved by special resolution, pursuant to section 241 of the Companies Act 1993, that CWF Holdings Limited be liquidated and that Kerryn Downey and William Black, of McGrath Nicol + Partners (NZ) Limited, Chartered Accountants, be appointed as liquidators.

Notice is given that a meeting of creditors will be held by way of an assembly of creditors at the offices of McGrath Nicol + Partners (NZ) Limited on the 19th day of May 2005, commencing at 11.00 a.m.

Business

The business to be transacted at the meeting is:

1. Consideration of a statement of the position of the company’s affairs.

2. Confirm the appointment of Kerryn Downey and William Black as liquidators or resolve to appoint other liquidators in place of the present liquidators.

3. Consideration of whether to pass resolutions setting out views of creditors relating to the liquidation.

4. Consider whether to appoint a liquidation committee and, if so, to appoint members of that committee.
