Pursuant to Section 221 of the Companies Act 1993
The boards of Environmental Air Care Limited and
Environmental Air Care International Limited (“the
amalgamating companies”) are required, in accordance with
section 221 (4) (b) of the Companies Act 1993, to give
notice of their proposed amalgamation.
Environmental Air Care Limited is intended to continue
as the amalgamated company under the name Innovair
Group Limited and the amalgamation is intended to take
effect from the 1st day of June 2005.

Copies of the amalgamation proposal are available for
inspection by any shareholder or creditor of either of the
amalgamating companies, or any person to whom either of
the amalgamating companies is under an obligation, at the
