Notice is hereby given, pursuant to section 221 (4) of
the Companies Act 1993, that Wakefield Health Limited
and Royston Hospital Limited, being the amalgamating
companies, propose to amalgamate.

The amalgamation is proposed to take effect on the 31st day
of January 2006.

The amalgamated (continuing) company will be Wakefield
Health Limited.

All assets and undertakings of the amalgamating companies
and all rights, obligations and liabilities owing by or to
the amalgamating companies will upon amalgamation be
transferred to the amalgamated company.

Copies of the amalgamation proposal are available for
inspection by any shareholder or creditor of an amalgamating
company or any person to whom an amalgamating company
is under an obligation at the registered offices of the
amalgamating companies during normal business hours.

A shareholder or creditor of an amalgamating company or
any person to whom an amalgamating company is under an
obligation is entitled to be supplied free of charge with a
copy of the amalgamation proposal upon request to an

the removal of an easement. The applicants claim the easement is redundant by reason of the circumstances set out below.

Circumstances: The well and pipeline created transfers 181823 and 163720 have not been used for at least nine years and the
dominant tenements are all connected to the Napier City Council reticulated water supply system. The easement is
redundant as there is no water to convey over the servient tenement to the dominant tenement.
