special resolution, pursuant to section 241 of the Companies
Act 1993, that Armada Tramway Limited be liquidated
and that Bruce Donald Gemmell, chartered accountant of
Christchurch, be appointed as liquidator for the purpose.

The liquidation commenced on the 23rd day of September
2005 at 10.00 a.m.

The directors have resolved that the company will be able to
pay its debts.
