by special resolution of the shareholders, pursuant to
section 241 (2) (a) of the Companies Act 1993, that
Tergrae Investments Limited be wound up and that Martin
Carmalt Welsford, chartered accountant of Christchurch, be
appointed liquidator with the liquidation commencing on the
1st day of June 2004 at 4.00 p.m.

The directors have resolved that the company was solvent
prior to my appointment and therefore, pursuant to section
243 (8), no creditors’ meeting is required to be called.
