(a) It intends to apply, under section 351 of the Companies Act 1993, for the company to be removed from the New Zealand Register on or after the 31st day of May 2004, in connection with the company becoming incorporated under the law in force in, or in any part of, another country; and

(b) it is intended to incorporate the company under the law in force in Western Australia, Australia.
