The application is to be heard before the High Court at Rotorua on Monday, the 15th day of March 2004 at 10.45 a.m.

Pursuant to Section 221 (4) (b) of the Companies Act 1993 (“the Act”)

Notice is given that, pursuant to Part XIII of the Companies Act 1993, the companies propose to amalgamate unless, pursuant to section 226 of the Act, written application is made to the Court that such amalgamation would be unfairly prejudicial, before the date on which the amalgamation becomes effective, namely the 1st day of April 2004.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of either company or any person to whom either company is under an obligation, at the registered offices of the companies and at Level One, 13 Ronwood Avenue, Manukau, Auckland, during normal business hours.

A shareholder or creditor of either company, or any person to whom either company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to either company.
