Public Notice of Amalgamation Proposal

Notice is hereby given, pursuant to section 221 (4) (b) of the
Companies Act 1993, that:

The board of directors of 51 Limited together with the
board of directors of Area 51 Limited (being
the amalgamating companies) have resolved to
amalgamate into a new company to be called Area
51 (Wellington) Limited
, which shall become the
amalgamated (continuing) company.

Further all rights, obligations and liabilities owing by or to
the amalgamating companies will upon amalgamation be
transferred to the amalgamated company.

The date of the proposed amalgamation is the 24th day of
December 2004, being not less than 20 working days from
the date of this notice.

Copies of the amalgamation proposal are available for
inspection by any shareholder or creditor of an amalgamating
company or any person to whom an amalgamating company
is under an obligation at the registered offices of the
amalgamating companies at Level Thirteen, AXA Centre,
80 The Terrace, Wellington, during normal business hours.

Any shareholder or creditor of an amalgamating company or
any person to whom an amalgamating company is under an
obligation is entitled to be supplied free of charge with
a copy of the amalgamation proposal upon request to an
amalgamating company.

Notice is given by Seeka Eleos Limited and Eleos Limited
of an amalgamation proposal affecting the companies.

It is proposed that Eleos Limited amalgamate into Seeka
Eleos Limited
and that the two companies continue as one
company, under the name Eleos Limited.

The date of the proposed amalgamation is the 17th day of
December 2004, being not less than 20 working days from
the date of this notice.

Copies of the amalgamation proposal are available for
inspection during normal business hours by any shareholder
or creditor of Seeka Eleos Limited or of Eleos Limited, or
any person to whom Seeka Eleos Limited or Eleos Limited
is under an obligation, at the registered offices of:

Land Transfer Act Notice

The applicants described below have applied, under section 70 of the Land Transfer Act 1952, for the removal of
a redundant easement. It is contended by the applicants that the easement is redundant by reason of the circumstances set out
below. I intend to remove the easement at the expiry of one calendar month from the date of the publication of this notice in
the New Zealand Gazette and provided that there is no objection lodged by anyone before that date.

Description of the Easement: A right of way easement over part Lot 2, DP 34528 (Computer Freehold Register NA7D/1235)

Circumstances: The continuity of the right of way easement was broken by the deposit of Plan 59622 and the creation of Lot 3
in the same plan. As a consequence, the right of way easement as described became redundant.
