(a) The shareholders on the 8th day of July 2002 at

liquidator of the above-named company, the official
assignee having declined to act following an earlier
resolution to liquidate the company.

(b) The liquidator does not consider that a meeting of
the creditors should be called because:

1. There are insufficient assets available to meet the
   claims of either preferential or secured creditors.
2. The company effectively ceased trading in March
