On the 4th day of April 2002 at 10.30 a.m., it was resolved by special resolution, pursuant to section 241 of the Companies Act 1993, that the company be wound up voluntarily and Anthony C. Harris be appointed as liquidator.

Pursuant to section 245 (1) (b) of the Act, the liquidator proposes not to call a meeting of creditors of the company at this stage.
