Pursuant to Section 221 (4) of the Companies Act 1993
Notice is given by Hewlett Packard New Zealand
(“the company”) of an amalgamation proposal affecting the
company.
Under the amalgamation proposal, Compaq Computer
New Zealand and Hewlett Packard New Zealand will
amalgamate, with Hewlett Packard New Zealand
continuing as the amalgamated company.
Copies of the amalgamation proposal are available for
inspection during normal business hours by any shareholder
or creditor of the company or of Compaq Computer
New Zealand, or any person to whom the company or
Compaq Computer New Zealand is under an obligation,
at the registered offices of the company situated at Level
Five, Compaq House, 4 Viaduct Harbour Avenue, Maritime
Square, Auckland, or of Compaq Computer New Zealand
at Level Five, Compaq House, 4 Viaduct Harbour Avenue,
Maritime Square, Auckland.
A shareholder or creditor of the company or of Compaq
Computer New Zealand, or any person to whom the
company or Compaq Computer New Zealand is under
an obligation, is entitled to be supplied free of charge
with a copy of the amalgamation proposal upon request
to the company or to Compaq Computer New Zealand
at the registered offices above.
