Notice of Intention to Remove Company From the Register

Pursuant to Section 320 (2) of the Companies Act 1993

Notice is hereby given that it is intended to remove from the New Zealand Register Markan Holdings Limited ("the company"), which has its registered office at 134 Plunket Avenue, Wiri, by request, under section 318 (1) (d) of the Companies Act 1993 ("the Act"), on the grounds that the company has ceased to carry on business, has discharged in full its liabilities to all its known creditors, and has distributed its surplus assets in accordance with its constitution and the Act.

The company has no surplus assets after paying its debts in full or in part and no creditor has applied to the Court, under section 241 of the Act, for an order putting the company into liquidation.

The date by which an objection to the removal, under section 321 of the Act, must be delivered to the Registrar is the 15th day of October 2002.

Notice is hereby given that we, the undersigned applicants, propose to apply to the Registrar of Companies at Auckland, pursuant to section 318 (1) (d) (i) of the Companies Act 1993, for the removal from the New Zealand Register of Aylesbury Limited, whose registered office is situated at WEL House, Fifth Floor, corner of Victoria and London Streets, Hamilton, on the grounds that the company has ceased to carry on business, has discharged in full its liabilities to all its known creditors, and has distributed its surplus assets in accordance with its constitution and the Companies Act 1993.

Unless written objection to such removal, pursuant to section 321 of the Act, is sent or delivered to the Registrar of Companies at Auckland by the 21st day of October 2002, the Registrar may remove the company from the Register.
