J R McKenzie Trust
Notice of Application for Approval of a Scheme
Pursuant to Part III of the Charitable Trusts Act 1957
Notice is hereby given that the J R McKenzie Trust Board (“the board”), as trustee of the J R McKenzie Trust (“the trust”), has filed an application for approval of a rule revision (being a scheme under Part III of the Charitable Trusts Act 1957).
The scheme does not vary any of the charitable objects of the trust, but modifies the composition of the board, and extends and modifies the powers and duties of the trustees, and the administrative powers of the board.
In particular, the scheme provides for:

The appointment of members of the board by the McKenzie family, the New Zealand Law Society, the New Zealand Medical Association, certain organs of the Rotary organisation, and the board itself;
-
The passing of resolutions by the board;
-
The presence of observers at meetings of the board;
-
The terms of trustees’ appointments;
-
Appointment of the board’s chairperson;
-
The holding and application of the trust’s funds (both income and capital);
-
The power to make regulations for the more efficient administration of the board’s operations;
-
Remuneration of trustees;
-
The powers of the board to use funds of the trust for operational purposes;
-
The preparation and audit of accounts;
-
Delegation of the board’s powers;
-
Use of the board’s common seal;
-
Resolution of disputes;
-
Resolution of conflicts of interest between trustees and the trust;
-
The liability of trustees;
-
Trustees’ rights of indemnity;
-
The board’s powers of investment;
-
The provision of receipts;
-
The winding up of the trust.
Copies of the scheme and the report of the Attorney-General on it may be inspected free of charge at the office of the Registrar of the High Court at Wellington, or at the office of the trust’s solicitors, Johnston Lawrence, Level Six, Wool House, 10 Brandon Street, Wellington.
The application has been set down for hearing in the High Court at Wellington on Tuesday, the 1st day of October 2002 at 10.00 a.m.
Any person desiring to oppose the scheme is required to give notice of his or her intention to do so to:
(a) The Registrar of the High Court at Wellington; and
(b) The trust’s solicitors, Johnston Lawrence, Level Six, Wool House, 10 Brandon Street, Wellington. Postal Address: P.O. Box 1213, Wellington. Facsimile: (04) 916 0141; and
(c) The Attorney-General;
not less than seven clear days before the date of hearing.
