(ii) the review of, and reporting on, the dealing

practices and systems of the company
against the practices and procedures set out
in the company’s compliance manual by the
compliance reporter (including on-site
inspections of the company’s records and
procedures), such review and reporting to be
undertaken at least once in every six months;

(iii) a copy of the compliance reporter’s reports to
be sent to the Securities Commission by the
compliance reporter;

(iv) the company to provide the compliance reporter
with copies of its annual report, and monthly
financial statements including a statement of
financial position, a statement of financial
performance, a statement of cash receipts and
payments that includes receipts and payments
of client monies, funds and property for the
month, and a statement of its position with
regard to client funds;

(v) the compliance reporter to give notice to the
Securities Commission before or immediately
upon it resigning or retiring from its position as
compliance reporter.

(k) the company sends a copy of its audited financial
statements to the Securities Commission not more
than three months after the end of each financial
year.

(l) the company maintains adequate professional
indemnity insurance for its business at all times.

(m) the company immediately notifies the Securities
Commission in writing of any of the following
events:

(i) The insolvency of the company or the
bankruptcy of any of its directors.

(ii) If the company, or any of its directors, is
convicted of an indictable offence.

(iii) Where a receiver, provisional liquidator,
liquidator or a similar officer is appointed, or
any resolution is passed or order made for the
winding up or dissolution of the company.

(iv) Any regulatory action taken against the
company whether in New Zealand or
elsewhere.

(v) If any director or member of the senior
management leaves the company or if any new
director or member of senior management is
appointed to the company.

Traffic Regulations 1976

Amendment to Traffic Signs—Temporary Warning and Vehicle Mounted Signs

Pursuant to Regulation 129 (6) of the Traffic Regulations
1976, and pursuant to a subdelegation from the Director of
Land Transport Safety by an instrument dated 3 May 1999,

I, Peter Graeme Croft, Manager Safer Roads hereby amend
the “Traffic Signs—Temporary Warning and Vehicle
Mounted Signs” notice dated 25 August 2000”* by:

(a) deleting from the said notice the sign described in
the First Schedule; and

(b) inserting in the said notice, as described, the signs in
the Second Schedule to this notice.

First Schedule

Vehicle Mounted Signs

The following sign should be deleted:

(c) ROAD INSPECTION VEHICLE (TW-27)

Second Schedule

Temporary Warning Signs

The following supplementary signs shall be inserted after
the specified paragraph:

T2 “Road Works” supplementary signs

The following supplementary sign should be inserted
after SHOULDER CLOSED in paragraph 1(a):

T3 “Other Hazards” supplementary signs

The following supplementary signs should be inserted

Transit New Zealand Act 1989

Revoking Section of State Highway and Declaring New Section of State Highway—State Highway No. 35, Opotiki District

Pursuant to section 60 of the Transit New Zealand Act 1989,
the Transit New Zealand Authority gives notice that the
section of State Highway No. 35 described in the First
Schedule hereto is revoked, and the section of road described
in the Second Schedule hereto is declared to be State
Highway No. 35 within the meaning and for the purpose of
the Transit New Zealand Act 1989.

First Schedule

In Opotiki District, that section of State Highway No. 35 at
the Motu River, commencing at its southern intersection
with the realigned section of road to be declared as State
Highway No. 35 and proceeding in a generally easterly
direction, then a generally westerly direction to its northern
intersection with the realigned section of road (Route
Position 28/13.37 to Route Position 41/0.18).

Second Schedule

In Opotiki District, the realigned section of road at the Motu
River, commencing at its southern intersection with the
