Business:

1. Appointment of Liquidator
   To consider whether to appoint another liquidator in
   place of the present liquidator who was appointed by the
   shareholders of the company and, if thought fit, to pass
   the following resolution:
   “That a liquidator be appointed to replace the present
   liquidator.”
   or, if the above resolution fails to pass a resolution:
   “That the appointment of Grant Dixon as liquidator is
   approved.”
2. Appointment of Liquidation Committee
   To consider whether a liquidation committee should be
   appointed and, if thought fit, to pass the following
   resolution:
   “That a liquidation committee should be appointed of
   not less than 3 persons being creditors of the company
   or their authorised representatives.”
   and, if it is so decided, to choose the members of the
   committee.
3. Conduct of the Liquidation
   To consider whether the liquidator be asked to have
   regard to the views, if any, of the creditors in conducting
   the liquidation and, if thought fit, to pass the following
   resolution:
   “That the views of the creditors to the conduct of the
   liquidation be placed before the liquidator by the
   liquidation committee or by the creditors directly if
   there is no such liquidation committee.”
