(a) Pursuant to section 318 (1) (d) (i) of the
Act, Ross O’Neill, being a shareholder of the
company and authorised by special resolution of
the company, intends to deliver to the Registrar
of Companies at Wellington a request that the

on the grounds that at the date of such request the
company will have ceased to carry on business, will
have discharged in full its liabilities to all its known
creditors, and will have distributed its surplus assets
