South Auckland Industrial Sites Limited and Kourier Farms Limited

Notice to Public of Proposed Amalgamation

Notice is hereby given, pursuant to section 221 (4) of the Companies Act 1993, that the board of directors of South Auckland Industrial Sites Limited together with the board of directors of Kourier Farms Limited (being the amalgamating company), have resolved to amalgamate. South Auckland Industrial Sites Limited shall become the amalgamated (continuing) company.

Further, all rights, obligations and liabilities owing by or to Kourier Farms Limited will upon amalgamation be transferred to South Auckland Industrial Sites Limited.

The date of the proposed amalgamation is the 30th day of November 2001, being not less than 20 working days from the date of this notice.

Copies of the amalgamation proposal are available for inspection by any shareholder, creditor or any person to whom Kourier Farms Limited or South Auckland Industrial Sites Limited is under an obligation, at the registered offices of Kourier Farms Limited or South Auckland Industrial Sites Limited during normal business hours.

Any shareholder or creditor or any person to whom Kourier Farms Limited or South Auckland Industrial Sites Limited is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request.
