Notice in Respect of an Amalgamation Proposal

Pursuant to Section 221 (4) (b) Companies Act 1993

It is proposed that Fonterra Co-operative Group Limited (previously called Global Dairy Company Limited), Kiwi Co-operative Dairies Limited and The New Zealand Co-operative Dairy Company Limited (“the merging companies”) will amalgamate and form a new company to be called on incorporation Global Dairy Company Limited and immediately thereafter renamed Fonterra Co-operative Group Limited on the terms set out in a merger proposal dated on the 24th day of May 2001 (“the merger proposal”).

Subject to enactment of satisfactory dairy industry restructuring legislation, the merger is intended to take effect on the later of the 28th day of September 2001 or the date of delivery of the merger proposal for registration at the Auckland District Companies Office.

Copies of the merger proposal are available for inspection by any shareholder or creditor of the merging companies or any person to whom any of the merging companies are under an obligation at the current registered office of Fonterra Co-operative Group Limited, being Building 103, Leonard Isitt Drive, Auckland Airport, Auckland.

A shareholder of any of the merging companies, any creditor of the merging companies or any person to whom any of the merging companies is under an obligation is entitled to be supplied free of charge with a copy of the merger proposal upon request at the registered office stated above.

Public Notice of Amalgamation Proposal

Pursuant to Section 221 (4) (b) of the Companies Act 1993

The boards of the amalgamating companies give notice of the proposed amalgamation of the above-named amalgamating companies.

A new company, to be named Instant Finance NZ Limited, will be incorporated to continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of any of the amalgamating companies, or any person to whom an amalgamating company is under an obligation, at the registered offices of each of the amalgamating companies detailed below during normal business hours.

Any shareholder or creditor of the amalgamating companies, or any person to whom the amalgamating companies are under an obligation, is entitled to be provided free of charge with a copy of the amalgamation proposal by writing to the registered office of any of the amalgamating companies, detailed below, requesting a copy.

The Registered Office for Each of the Amalgamating Companies is: Care of Premium Securities Limited, Ellerslie Business Centre, 101 Main Highway, Ellerslie, Auckland.
