Notice of Proposed Amalgamation

Notice is hereby given by Taranaki Energy Limited, pursuant to section 221 (4) of the Companies Act 1993, of an amalgamation proposal affecting the company.

Taranaki Energy Limited, CentralPower Limited and Powerco Limited propose to amalgamate with Mergeco Limited, pursuant to Part XIII of the Companies Act 1993, with effect from the 1st day of September 2000.

Copies of the amalgamation proposal, dated the 28th day of July 2000, are available for inspection by any shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation, at the registered offices of the amalgamating companies (as set out below) during normal business hours of 9.00 a.m. to 5.00 p.m. on weekdays.

A shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.
