NPF (Passive Fixed Interest) Limited

Notice in Respect of an Amalgamation Proposal

Pursuant to Section 221 (4) (b) of the Companies Act 1993

It is proposed that NPF (Passive Fixed Interest) Limited ("the company") amalgamate with NPF (Overseas Equities) Limited, NPF (Securities) Limited, Greenbird Holdings Limited and NPF (Fixed Interest) Limited in accordance with section 221 (1) of the Companies Act 1993 ("the amalgamation proposal").

Upon amalgamation, NPF (Overseas Equities) Limited will continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of the company or any person to whom the company is under an obligation at the registered offices, being:

City Tower
95 Customhouse Quay
Wellington

during normal business hours.

A shareholder of the company, any creditor of the company or any person to whom the company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the company at its registered office stated above.
