Public Notice of Amalgamation Proposal

Pursuant to Section 221 (4) of the Companies Act 1993

Notice is given by Tasman Milk Products Limited of an amalgamation proposal affecting the company.

Tasman Milk Products Limited proposes to amalgamate with Kiwi Tasman Co-operative Dairies Limited, and Tasman Milk Products Limited shareholders will become shareholders initially in Kiwi Tasman Co-operative Dairies Limited and subsequently in Kiwi Co-operative Dairies Limited.

Copies of the amalgamation proposal, dated the 7th day of August 2000, are available for inspection during normal business hours by any shareholder or creditor of the company or of Kiwi Tasman Co-operative Dairies Limited, or any person to whom the company or Kiwi Tasman Co-operative Dairies Limited is under an obligation, at the registered offices of the company situated at 68 Meihana Street, Takaka, or of Kiwi Tasman Co-operative Dairies Limited at Whareroa Road, Hawera.

A shareholder or creditor of the company or Kiwi Tasman Co-operative Dairies Limited, or any person to whom the company or Kiwi Tasman Co-operative Dairies Limited is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the company or to Kiwi Tasman Co-operative Dairies Limited.
