Notice of Proposed Amalgamation

Pursuant to Section 221 of the Companies Act 1993

Notice is hereby given by the directors of M J & K E Child & Sons Limited and Tangihua Farms Limited that the companies propose to amalgamate on the 26th day of July 1999.

M J & K E Child & Sons Limited will continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any member or creditor of either company, or any other person to whom either company is under an obligation, at their registered offices, situated at care of Derek Halse Accounting Services Limited, Level Two, 2 James Street, Whangarei, during normal business hours.

A copy of the amalgamation proposal will be supplied free of charge to a member or creditor of either company, or any other person to whom either company is under an obligation, upon request to either company.

Pursuant to Section 221 (4) (b) of the Companies Act 1993

The board of directors of Radio Otago Limited give notice that, subject to shareholder consent, it is proposed that on the 1st day of August 1999, Radio Otago Limited will amalgamate with Radio Pacific Limited under Part XIII of the Companies Act 1993.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of Radio Otago Limited or Radio Pacific Limited ("the amalgamating companies") or by any person to whom either of the amalgamating companies is under an obligation at the registered offices of the amalgamating companies during normal business hours.

Such Registered Offices are:

(a) Radio Otago Limited, 248 Cumberland Street, Dunedin.

(b) Radio Pacific Limited, Fountain Court, corner of Jervois and St Marys Bay Roads, Ponsonby, Auckland.

A shareholder or creditor of either of the amalgamating companies or any person to whom an amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of Radio Pacific Limited or Radio Otago Limited ("the amalgamating companies") or by any person to whom either of the amalgamating companies is under an obligation at the registered offices of the amalgamating companies during normal business hours.

Such Registered Offices are:
