1. The company intends to apply, under section 351 of the Companies Act 1993, after the 10th day of December 1999, for the company to be removed from the New Zealand Register in connection with the company becoming incorporated under the law in force in another country; and

2. The company proposes to become incorporated under the law in force in Bermuda.
