The boards of Viking Properties Limited, Tropicana
Resorts Limited, Sterling Holdings Limited, Nautical
Holdings Limited, Lamb Properties Limited and Kellow
Properties Limited ("amalgamating companies") are
required, in accordance with section 221 (4) (b) of the
Companies Act 1993, to give notice of the proposed
amalgamation of the amalgamating companies with Viking
Properties Limited.

Viking Properties Limited is intended to continue as the
amalgamated company and the amalgamation is intended to
take effect from the 10th day of July 1998.

Copies of the amalgamation proposal are available for
inspection by any shareholder or creditor of any of the
amalgamating companies, or any person to whom any of
the amalgamating companies are under an obligation, at the
registered offices of the amalgamating companies detailed
