Notice of Amalgamation of Companies

Take notice that not less than 20 working days after the date of this notice, Bergham Nominees Limited (having its registered office and place of business at Pukekohe), Bergham No 1 Limited (previously known as G M Anderson Commercial Buildings Limited, having its registered office and place of business at Pukekohe), Bergham No 2 Limited (previously known as Monaco Motors Limited, having its registered office and place of business at Pukekohe) and Bergham No 3 Limited (previously known as G & B Anderson Farms (No 2) Limited, having its registered office and place of business at Pukekohe) propose to amalgamate and continue as one company (being Bergham Nominees Limited).

Such amalgamation is subject to compliance with all relevant requirements of Part XIII of the Companies Act 1993, and those matters required by the amalgamation proposal to be completed to effect the amalgamation.

Copies of the amalgamation proposal are available for inspection by any member or creditor of any amalgamating company or any person to whom any amalgamating company is under obligation at the registered offices of these companies, being 11 Hall Street, Pukekohe.

A member or creditor of any amalgamating company or any person to whom either amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to any amalgamating company.

Notice of Intended Amalgamation

Notice is hereby given, pursuant to section 221 (4) of the Companies Act 1993, that the following companies, namely Sigma Finance Limited, Cackleberry Holdings Limited and Cackleberry Farm Limited, intend to amalgamate on the 14th day of April 1998, as per the amalgamation proposal dated the 11th day of March 1998.
