Notice is given pursuant to sections 290 and 291 of the Companies Act 1955, that a final meeting of the members and creditors of the company will be held in the Boardroom, Deloitte House, 32 Oxford Terrace, Christchurch, on Friday, 30 May 1997 at 11.00 a.m. for the purpose of:

(a) Having an account laid before the meeting showing the manner in which the liquidation has been conducted and the property of the company disposed of.

(b) Hearing any explanations that may be given by the liquidator.

(c) Approving that the books and records of the company be held for a period of 1 year and then destroyed.

Notice of Meeting of Creditors

Pursuant to Section 213 of the Companies Act 1955

On the 17th day of April 1997, it was resolved by special resolution, pursuant to section 211 of the Companies Act 1955, that Bills Marine Limited be liquidated and that Thomas Lee Rodewald, chartered accountant of Te Puke, be appointed liquidator.

Notice is given that a meeting of creditors will be held by way of an assembly of creditors at the War Memorial Hall, Reception Lounge, Short Street, Whakatane, on the 14th day of May 1997, commencing at 1.00 p.m.

Business:

The business to be transacted at the meeting is:

(i) Consideration of a statement of the company’s affairs and list of creditors.

(ii) Consider whether to appoint other liquidators in place of the present liquidators.

(iii) Consideration whether to pass resolutions setting out views of creditors relating to the liquidation.

(iv) Consideration of appointment of a liquidation committee, and if so, appoint members of that committee.

The following resolution will be submitted to the meeting.

Resolution A: That Thomas Lee Rodewald continue to act as the liquidator of the company.

Resolution B: That a liquidation committee be appointed (this committee to consist of persons elected by the creditors at the meeting).

Any other resolution relating to the business of the meeting as may properly be put to the meeting.

Creditors may exercise the right to vote by being present in person, or by appointing a proxy or by postal vote. A body corporate may appoint a representative to attend on its behalf without the need for a proxy.

Proxies:

A proxy may be appointed by completing a proxy form. To be effective, the proxy must be received by the liquidator not later than 1.00 p.m. on the 13th day of May 1997.

Entitlement to Vote:

A person shall not be entitled to vote as a creditor unless, by the time the vote is taken, the creditor has made a claim and either:

(a) The liquidator has admitted the claim wholly or in part either for payment or for voting purposes; or
