That following the sale of the company’s land and buildings, the members of the above-named company by way of entry in the company minute book, pursuant to section 211 (2) of the Companies Act 1955, have on the 4th day of April 1997, passed the following resolution:

As all assets of the company have been realised and that the company is solvent, it be voluntarily wound up forthwith, and Alan D. Martin, chartered accountant of Whangarei, be appointed liquidator of the company.

A declaration of solvency has been filed by the directors of the company.
