Metropolitan Young Men’s Christian Association of Auckland Limited (‘‘the association’’)

Notice of Extraordinary General Meeting

Notice is hereby given pursuant to article 16 of the articles of association of the association and section 18 (5) of the Companies Act 1955, that an extraordinary general meeting of the Association will be held in the Hostel Meeting Room at the Auckland YMCA Hostel, corner of Greys Avenue and Pitt Street, Auckland, on Tuesday, 6 May 1997 at 4.00 p.m.

The purpose of the meeting is to consider and, if thought fit, pass the following resolution as a special resolution:

‘‘That the memorandum of association of the Metropolitan Young Men’s Christian Association of Auckland Limited be amended by the insertion of the following provision as provision 2 (vii) (a):

‘(vii) (a) With the approval of a majority of not less than three-fourths of the governing and life members voting in person at a meeting called for the purpose of considering the proposal, to transfer such of its assets as may be approved by such meeting to any society which exists for charitable purposes within the Auckland area, or the trustees of any trust which exists for charitable purposes within the Auckland area provided that any such society or trust has objects substantially the same as the objects of the association.’ ’’

Note: Only governing and life members of the association are entitled to attend and vote at the meeting.
