Take notice that the Registrar of Companies at Wellington proposes to restore the following companies to the Register of Companies:

Esplanade No.2 Limited, Harbour Inn Seafoods Retail (K-Mart) Limited, Harbour Inn Seafoods Retail (Lower Hutt) Limited, Harbour Inn Seafoods Retail Limited, Harbour Inn Properties (Hawkes Bay) Limited, Harbour Inn Seafoods (Hawkes Bay) Limited and Harbour Inn Restaurants Limited ("the companies")

The Registrar proposes to act, under section 303 (1) of the Companies Act 1955 and section 328 (1) of the Companies Act 1993, on the grounds that the companies were still carrying on business at the time they were removed from the Register.

Objections to the restoration of any of these companies to the Register must be delivered to the District Registrar of Companies at Wellington within 20 working days of the date of publication of this notice.

Public Notice of Amalgamation Proposal

Pursuant to Section 209C (4) of the Companies Act 1955

Notice is give by the companies of an amalgamation proposal. The proposal involves the amalgamation under Part VA of the Companies Act 1955, of the companies and Harbour Inn Seafoods (Petone) Limited on the basis that Harbour Inn Seafoods (Petone) Limited will continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection during normal business hours by any shareholder or creditor of the companies or of Harbour Inn Seafoods (Petone) Limited or any person to whom the companies or Harbour Inn Seafoods (Petone) Limited are under an obligation, at the registered offices of the companies, situated at Level Seven, National Mutual Building, 92 Queens Drive, Lower Hutt.

A shareholder or creditor of the companies or Harbour Inn Seafoods (Petone) Limited, or any person to whom the companies or Harbour Inn Seafoods (Petone) Limited are under an obligation is entitled to be supplied, free of charge, with a copy of the amalgamation proposal upon request to the companies or to Harbour Inn Seafoods (Petone) Limited.
