Notice of Proposed Amalgamation

Pursuant to Section 221 (4) (b) of the Companies Act 1993

1. It is proposed to amalgamate the company and Pederson Eucalypt Chipping Limited, Pederson Chipping Limited, Minotaur Imports Limited, A E & P A Pederson Limited and Tokoroa Holdings Limited, under sections 220 and 221 of the Companies Act 1993 (“the amalgamation proposal”) on Sunday, the 1st day of February 1998. The company will continue as the amalgamated company and will succeed to all the property, rights, powers, privileges, liabilities and obligations of Pederson Eucalypt Chipping Limited, Pederson Chipping Limited, Minotaur Imports Limited, A E & P A Pederson Limited and Tokoroa Holdings Limited. Pederson Eucalypt Chipping Limited, Pederson Chipping Limited, Minotaur Imports Limited, A E & P A Pederson Limited and Tokoroa Holdings Limited will be removed from the Register of Companies, following the amalgamation.
