Pro-Vision Limited

Notice of Amalgamation Proposal

Pursuant to Section 221 (4) of the Companies Act 1993

The board of directors of Pro-Vision Limited gives notice of a proposal for the amalgamation of the company with OHL Eyewear Limited and Professional Optical Laboratory Limited, to form a new company called Independent Optical Limited.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of the company, or any person to whom the company is under an obligation at the registered office of the company, being Mabee Halstead & Kiddle, Fourth Floor, 70 Shortland Street, Auckland, during normal business hours.

A shareholder or creditor of the company or any person to whom the company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the company.
