Any member or creditor of any of the above company or to any person to whom any of the above company is obligated:

May inspect copies of the amalgamation proposal during normal office hours at the Eighth Floor, Gosling Chapman Centre, 63 Albert Street, Auckland, which is the registered office of the company.

Shall be entitled to receive a copy of the amalgamation proposal free of charge upon request to any of the above companies.

Notice of Proposed Amalgamation
Pursuant to Section 221 (4) (b) of the Companies Act 1993

1. It is proposed to amalgamate the company and Continental Distributors (Auckland) Limited, under sections 220 and 221 of the Companies Act 1993 ("the amalgamation proposal") on Friday, the 31st day of October 1997. The company will continue as the amalgamated company and will succeed to all the property, rights, powers, privileges, liabilities and obligations of Continental Distributors (Auckland) Limited. Continental Distributors (Auckland) Limited will be removed from the Register of Companies following the amalgamation.

2. Copies of the amalgamation proposal are available for inspection during normal business hours by any shareholder of the company, and creditor of the company, or any person to whom the company is under any obligation, at the registered offices of the company being 10 Holt Place, Christchurch.

3. A shareholder of the company, any creditor of the company or any person to whom the company is under any obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request.
