Notice of Intention to Request Removal From the Register

In the matter of section 318 (1) (d) (i) of the Companies Act 1993 ("the Act") and in the matter of M & J Newbold Limited ("the company"), a duly incorporated company having its registered office at 85 The Terrace, Wellington.

Notice is hereby given that pursuant to section 318 (1) (d) (i) of the Act, the members of the company intend to deliver to the Registrar of Companies at Wellington, a request that the company be removed from the Register of Companies on the ground that at the date of such request the company will have ceased to carry on business, has discharged in full its liabilities to all its known creditors, and has distributed its surplus assets in accordance with its constitution and the Act.

That any objection, under section 321 of the Act, to the removal of the company from the Register of Companies must be delivered to the Registrar of Companies at Wellington no later than Friday, the 31st day of October 1997.

Notice is hereby given that we the undersigned applicants propose to apply to the Registrar of Companies at Napier, pursuant to section 318 (1) (d) (i) of the Companies Act 1993 for the removal of Mr Mobile Mechanic Limited, whose registered office is situated at 36 Abbott Street, Te Hapara, Gisborne, from the New Zealand Register on the grounds that the company has ceased to carry on business, has discharged in full its liabilities to all its known creditors, and has distributed its surplus assets in accordance with its constitution and the Companies Act 1993.

Unless written objection to such removal pursuant to section 321 of the Act is sent or delivered to the Registrar at Napier by the 6th day of November 1997 (being a date not less than 20 working days after the date of this notice), the Registrar may remove the company from the Register.

Notice is given that pursuant to section 318 (1) (d) of the Companies Act 1993, it is proposed that a request be made to the Registrar of Companies at Auckland to remove CIBNZ Limited, whose registered office is Level Three, 18 Shortland Street, Auckland, from the Register.

The grounds for the removal are that the company has ceased to carry on business, has discharged in full its liabilities to all its known creditors and has distributed its surplus assets in accordance with its constitution and the Companies Act 1993.

Unless written objections are lodged with the Registrar under section 321 of the Companies Act 1993, within 28 days of the date of this notice, the Registrar may remove the company from the Register.

CESSATION OF BUSINESS IN NEW ZEALAND

Changes in American Express Operations in New Zealand

With effect from 1 October 1997, all of the business previously carried on by American Express International Inc has been transferred to a new company called American Express International (NZ), Inc. It has taken over responsibility for all of its American Express International Inc’s obligations in New Zealand. This step has been necessitated as a result of financial reporting requirements in New Zealand.

As a result American Express International Inc will cease to carry on business in New Zealand with effect from 31 December 1997. This notice is given under section 341 of the Companies Act 1993.
