Notice of Appointment of Liquidators

Pursuant to Section 229 (2) (a) of the Companies Act 1955

Subsequent to the directors of each company resolving that the companies would, on the appointment of liquidators, be able to pay its debts, John Lawrence Vague and Graeme George McDonald, chartered accountants of Auckland, were appointed jointly and severally as liquidators of the company by special resolution of the members on the 24th day of December 1996, the date the liquidation commenced.

Notice to Creditors to Claim

Pursuant to Liquidation Regulation 12 of the Companies Act 1955

Notice is given that as liquidators of the companies, we fix the 28th day of January 1997, as the day on or before which the creditors of the companies are to make their claims, and to establish any priority their claims may have under section 286 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are claimed or, as the case may be, from objecting to the distribution.

The above solvent company was placed into liquidation as part of an internal reconstruction process following the sale of its business operations.

Change of Name

In accordance with the vendor’s obligations under the sale and purchase agreement the company changed its name from Challenge Realty Limited to Mortis Holdings Limited on the 2nd day of December 1996.

Notice of Appointment of Liquidator

Robert John Willis, chartered accountant, was appointed liquidator of Mortis Holdings Limited (in liquidation) on the 6th day of December 1996, pursuant to section 211 (2) (a).

Notice of Intention to Remove

Application to remove the above-mentioned company will be made to the Registrar, pursuant to section 293 (1) (e), on the grounds that the documents referred to in section 231 (1) (a) will be sent to the Registrar, after 30 days from the date of this notice. Objections to remove, under section 296, must be delivered to the Registrar within that period.

Notice to Creditors to Prove Debts or Claims

The liquidator has fixed the 9th day of January 1997, as the last day when creditors are to make their claims and establish any priority their claims may have. Creditors claims that have not been made at the date a distribution is declared will be excluded from the benefit of that distribution and may not object to that distribution.
