Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 4th day of August 1996, the following special resolution was passed by the company:

That Peter John Brannigan, chartered accountant of Auckland, be appointed liquidator, pursuant to section 211 (2) (a) of the Act.

The date of commencement of the liquidation is the 4th day of August 1996.

Notice of Creditors Meeting

We, Peter Leslie Shaw and Richard Dale Agnew, chartered accountants of Hamilton and Auckland respectively, were jointly and severally appointed liquidators of Union Medical Centre (Waikato) Limited (in liquidation) by special resolution of the shareholders on the 6th day of August 1996.

A meeting of creditors of Union Medical Centre (Waikato) Limited (in liquidation) will be held at 10.30 a.m. on Friday, the 16th day of August 1996 on the Sixth Floor, Bryant Trust Building, 127 Alexandra Street, Hamilton.

The business to be transacted at the meeting is:

1. Consideration of the report to creditors.
2. Consider the creditors views.
3. To consider and vote on the following resolution that no person be appointed as liquidator in place of the liquidators appointed under section 211 (2) (a) of the Companies Act 1955 (as amended by the Companies Amendment Act 1993).

Creditors may exercise their right to vote by being present in person or by appointing a proxy or by postal vote. For voting purposes proxies must be lodged with the liquidators no later than 8.30 a.m. on the 15th day of August 1996.
