Public Notice of Proposed Amalgamation of Above Companies

Notice is given that OTC Office Supplies Limited, Officecorp Holdings Limited, Discount Stationery Warehouse Limited and RK Boyd & Company Limited propose to amalgamate under Part VA of the Companies Act 1955.

All of those companies are members of the same wholly-owned group of companies.

OTC Office Supplies Limited will be the amalgamated company and will succeed to all the property, rights, powers and privileges and to all the liabilities and obligations of the other 3 companies.

The amalgamation is proposed to take effect on 6 July 1996.

Copies of the amalgamation proposal are available for inspection by any member or creditor of the amalgamating company or any person to whom an amalgamating company is under an obligation at the registered offices of the amalgamating company and at the offices of Whitcoulls Group Limited, Level Eleven, 48 Quay Street, Auckland, during normal business hours.

A member or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.
