Dennis Albert Mollet, company secretary of Palmerston North, was appointed liquidator of Tui Milk Products Limited by special resolution of the shareholders on the 27th day of September 1996, the date the liquidation commenced.

Prior to my appointment, the directors of the company resolved upon the appointment of a liquidator, that the company would be able to pay its debts. The basis upon which the directors made this resolution was that the latest audited financial statements indicated that the company’s assets exceeded its liabilities by approximately $99 million and this position has not materially changed since balance date.

The liquidation is to effect the merger of the company with Kiwi Co-operative Dairies Limited in accordance with section 24A of the Co-operative Dairy Companies Act 1949, and the detailed merger agreement previously forwarded to each member of the company.
