Broadwood Investments Limited (‘the company’)

Public Notice of Amalgamation Proposal

Pursuant to Section 209C (4) of the Companies Act 1955

Notice is given by Broadwood Investments Limited of an amalgamation proposal affecting the company.

The proposal involves the amalgamation under Part VA of the Companies Act 1955, of the company, Maurice Kain Holdings Limited and Maurice Kain Investments Limited on the basis that Maurice Kain Investments Limited will continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection during normal business hours by any shareholder or creditor of the company or of Maurice Kain Holdings Limited, or of Maurice Kain Investments Limited, or any person to whom the company or Maurice Kain Holdings Limited or Maurice Kain Investments Limited is under an obligation, at the registered offices of the three companies, all situated at Level Four, Textile Centre, Kenwyn Street, Parnell, and also at Level Seven, Tasman Buildings, 16–22 Anzac Avenue, Auckland.

A shareholder or creditor of the company or of Maurice Kain Holdings Limited or of Maurice Kain Investments Limited, or any person to whom the company or Maurice Kain Holdings Limited or of Maurice Kain Investments Limited, is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request, to the company or to Maurice Kain Holdings Limited or Maurice Kain Investments Limited.

In the matter of the Companies Act 1955, and in the matter of Ace Sales Limited:

Notice is hereby given that the order of the High Court of New Zealand, dated the 8th day of December 1995, confirming the reduction of the capital of the above-named company from $170,000 to $4,000 and the minute (approved by the Court) showing with respect to the capital of the company as altered the several particulars required by the above statute were registered by the District Registrar of Companies at Christchurch on the 21st day of December 1995.

And notice is further given that the said minute is in the words and figures following:

“The capital of Ace Sales Limited was by virtue of a special resolution and with the consent of an order of the High Court dated the 8th day of December 1995, reduced from $170,000.00 divided into 85 000 ordinary shares of $2.00 each to $4,000.00 divided into 2000 ordinary shares of $2.00 each and that such reduction be effected by payment to the shareholders.”

At the time of the registration of this minute all shares in the company are fully subscribed according to law in the case of a private company and are fully paid up.
