Notice of Meeting of Creditors

In the matter of section 213 of the Companies Act 1955, and in the matter of Living Resources Limited (in liquidation):

On the 21st day of July 1955, it was resolved by special resolution, pursuant to section 211 of the Companies Act 1955, that Living Resources Limited be liquidated and that Graeme George McDonald and Kerry Thomas Stotter, chartered accountants of Auckland, be appointed as liquidators.

Notice is given that a meeting of creditors will be held by way of an assembly of creditors at the Ninth Floor, KPMG Centre, 9 Princes Street, Auckland on the 28th day of August 1995, commencing at 11.00 a.m.

Business:
The business to be transacted at the meeting is:

(i) Consideration of a statement of the position of the company’s affairs.

(ii) Consideration whether to pass resolutions setting out views of creditors relating to the liquidation.

(iii) Consideration of appointment of a liquidation committee, and if so, appoint members of that committee.

Please contact the liquidator for further details including claim, proxy and voting forms.

Notice of Intention to Remove Companies From the Register

I intend to remove the companies named in this notice from the Register under either section 293 of the Companies Act 1955 or section 318 of the Companies Act 1993, as applicable.

The grounds on which I propose to take this action are that I am satisfied that the named companies have ceased to carry on business and that there is no other reason for these companies to continue in existence.

Objections to the removal of the named companies can be made under either section 296 of the Companies Act 1955 or section 321 of the Companies Act 1993, as applicable. An objection must be in writing and specify the ground relied on. Any such objections must be delivered to the District Registrar of Companies at Auckland within 20 working days of the date of this notice.
