Take notice that the Registrar of Companies at Auckland proposes to restore the above-named companies to the Register of Companies.

The Registrar proposes to act, under section 303 (1) (a) of the Companies Act 1955, on the grounds that the companies were carrying on business or in operation, or some other reason existed for them to remain on the Register at the time they were removed from the Register.

Notice is hereby given that the order of the High Court of New Zealand, dated 16 June 1995, confirming the reduction of the issued capital of the above-named company from $46,000,000 to $20,000,000 and the minute approved by the Court were registered by the District Registrar of Companies at Wellington on 23 June 1995.

The said minute is as follows:

Pursuant to Section 221 (4) of the Companies Act 1993

Powerco Limited of Wanganui and Taranaki Energy Limited of New Plymouth, hereby give notice that the 2 companies propose to amalgamate and continue as 1 company under the name of Powerco Limited.

An amalgamation proposal together with the further information required by section 221 (3) of the Companies Act 1993, has been sent to the shareholders of each company.

The amalgamation proposal will be considered by the shareholders of each company at shareholders’ meetings in August/September 1995 and if the proposal is approved by a special resolution of the shareholders of both companies, the amalgamation will become effective on 1 October 1995.
