Pursuant to Section 209c (4) of the Companies Act 1955

In the matter of section 209c of the Companies Act 1955, and in the matter of Canon New Zealand Limited and Canon Investments (NZ) Limited (referred to as the “companies”):

The companies hereby give notice of their intention to amalgamate, pursuant to section 209c of the Companies Act 1955.

Canon Investments (NZ) Limited is currently the non-trading New Zealand holding company of Canon New Zealand Limited. It has been decided that, for administrative reasons, Canon Investments (NZ) Limited will amalgamate into Canon New Zealand Limited.

The amalgamation will not effect the business or operations of Canon New Zealand Limited.

A copy of the amalgamation proposal (the “proposal”) is available for inspection by any shareholder or creditor of any of the companies or any person to whom any of the companies is under an obligation, at the registered offices of any of the companies during normal business hours.

A shareholder or creditor of any of the companies or any person to whom any of the companies is under an obligation is entitled to be supplied free of charge with a copy of the proposal upon request to any of the companies.
