Notice is hereby given, pursuant to section 281 of the Companies Act 1955, that a general meeting of shareholders of I’m A Gift (Wellington) Limited (in liquidation) will be held in the offices of the liquidators, Level Nineteen, Majestic Centre, 100 Willis Street, Wellington on the 11th day of May 1995 at 4.00 p.m.

Business:

1. To receive and consider the liquidator’s account, showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanation thereof by the liquidator.
2. To be proposed as an extraordinary resolution:
   That the liquidator be authorised to dispose of the books of the company and of the liquidator as he thinks fit.
3. General business.

Notice of Meeting of Creditors

Pursuant to Section 213 of the Companies Act 1955

I, Anthony George Lewis, chartered accountant of Wellington, was appointed liquidator of Telcorp Limited by special resolution of the shareholders, on 7 May 1995.

A meeting of creditors will be held at Coopers & Lybrand, UDC Tower, Thirteenth Floor Boardroom, 113–119 The Terrace, Wellington, on Friday, 19 May 1995, commencing at 10.00 a.m.

The business to be transacted at the meeting is whether:
(a) To appoint another liquidator in place of the above;
(b) To convey the views of creditors to the liquidators;
(c) To appoint a liquidation committee;
(d) General business.

The following resolutions will be submitted to the meeting:
Resolution A:
That another liquidator be appointed in place of the appointed liquidator.
Resolution B:
That the views of the creditors be conveyed to the liquidator.
Resolution C:
That a liquidation committee be appointed to act with the liquidator.

Creditors may exercise their right to vote by being present in person, or by appointing a proxy or by postal vote.

Notice is hereby given in pursuance to sections 280 and 290 of the Companies Act 1955, that the first annual meeting of the creditors of the above-named company will be held in the Trust Bank Room, Canterbury Employers Chamber of Commerce, 57 Kilmore Street, Christchurch at 11 a.m. on Monday, the 12th day of June 1995 for the purpose of:

Having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of for the period 14 March 1994 to 14 March 1995 and to receive an explanation thereof by the liquidator.

Every member or creditor entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of that member or creditor. A proxy need not be a member or creditor of the company.
