Proposed Amalgamation of Oji Sankoku Esk Forest Limited, Oji Sankoku Gwavas Forest Limited and Oji Sankoku Kaweka Forest Limited with Oji Sankoku Mohaka Forest Limited

Pursuant to Section 209C of the Companies Act 1955 and Pursuant to Part VA of the Companies Act 1955

1. It is proposed that the above-named companies will amalgamate into one company effective from 2 April 1995. Oji Sankoku Mohaka Forest Limited will continue as the amalgamated company but will change its name following the date of amalgamation to Hawkes Bay Forests Limited. From the effective date all the trading operations of the amalgamating companies will be carried on by Oji Sankoku Mohaka Forest Limited.

2. (a) Copies of the amalgamation proposal are available for inspection by any member or creditor of Oji Sankoku Mohaka Forest Limited or any person to whom the company is under an obligation, at either of the addresses below during usual working hours:

At the registered office of the company:

Care of Coopers & Lybrand, Coopers & Lybrand Tower, 23–29 Albert Street, Auckland (Attention: Mr B. Sommerville).

Or at the offices of the company:

MOW Administration Building, 8–10 Taradale Road, Napier (Attention: Mr Kawaguchi).

(b) Any member or creditor of the company or any person to whom the company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the company.
