names appear in the Register at 5.00 p.m. on the first Friday which is at least 2 business days following the date on which this special resolution is confirmed by the High Court of New Zealand ('the books closing date') pro rata to the holding of shares registered in their names at that time, so that the number of shares held by each entitled holder which are to be cancelled shall be 4 shares for every 5 shares registered in the name of such entitled holder on the books closing date, provided that where the resulting number of shares of an entitled holder to be cancelled would not be a whole number the directors shall round the number of shares of that entitled holder to be so cancelled either up or down (at the directors' discretion) to either the next highest or lowest whole number;

(c) there shall be paid to the entitled holders, an amount of $0.625 for each cancelled share held by them, such amount comprising a return of share capital (as to $0.50 for each cancelled share) and a distribution from capital reduction reserve (as to $0.125 for each cancelled share), such payment to be made within 7 days after the books closing date, and new share certificates for the shares remaining on issue after the reduction and cancellation shall be issued to the entitled holders;

(d) the issue share capital of the company shall, upon cancellation of the cancelled shares, be reduced by $31,349,661 being the aggregate nominal value of the cancelled shares so that upon completion of the reduction the company will have:

(i) an authorised capital of $88,650,339 divided into 177,300,678 ordinary shares of 50 cents each; and

(ii) an issued capital of $7,837,415 divided into 15,674,830 ordinary shares of 50 cents each;

and that, subject to the obtaining of support from the company's creditors which is, in the directors' opinion, sufficient to facilitate the obtaining of High Court approval in an expeditious and administratively efficient manner, the company take all steps required under the Companies Act 1955 to effect the reduction of share capital."

The High Court of New Zealand has confirmed the above special resolution.
