Notice is hereby given in pursuance of section 341 (1) (a) of the Companies Act 1993, that Lego Australia Pty Limited, a company incorporated in Australia, but having a place of business in New Zealand at Auckland, intends to cease to have a place of business in New Zealand as from the 10th day of May 1995.

The parties hereunder described have agreed to form a special partnership under the Partnership Act 1908 (section 49) and certify as to the requirements of section 51 of the said Act as follows:

  1. The style under which the partnership is to be conducted shall be Prodotti D’Italia Limited & Company.

  2. The general nature of the business to be conducted is the importing and sale in New Zealand of foodstuffs and beverages imported from Italy.

  3. The principal place at which the business is to be conducted is Auckland.

  4. The partnership commenced on 9 December 1994 and is to end on 9 December 1995.

  5. The names and places of residence of all the partners and the amount of capital which each special and general partner is contributing to the common stock is per the following Schedule.

Termination of Partnership

  1. Michael Anson Neilson, farmer of Hastings and Andrew Arthur Neilson, farmer of Hastings, trading in partnership under the style or name of Summerlee Station Partnership, terminated the partnership on 20 January 1995, the partnership assets and liabilities having been acquired by Summerlee Estate Limited, a duly incorporated company having its registered office at Hastings.

  2. Michael Anson Neilson, Andrew Arthur Neilson and Anthony Osborne, trading together in partnership under the name or style of Gannet Safaris, advises that the partnership terminated on 20 January 1995, the assets of the said partnership having been acquired by Summerlee Estate Limited, a duly incorporated company having its registered office at Hastings.
