Advertisement of Application for Order Under Section 209ZG of the Companies Act 1955

Take notice that on 21 July 1995, an application for an order under section 209ZG of the Companies Act 1955 in respect of G J Philp-Wright Limited was filed in the High Court at Wanganui.

The following are the orders sought:

• Directing the notification and holding of an annual general meeting or meetings for the years 1991 to 1995 by G J Philp-Wright Limited;

• Directing that an auditor be appointed to audit the accounting records of G J Philp-Wright Limited for the years 1991 to 1995;

• Directing that Pauline Mary Philp-Wright is not to hold the office of both sole director and secretary of G J Philp-Wright Limited;

• Setting aside the disposition of leather bags and associated goods by G J Philp-Wright Limited to Philp-Wright Fabrics Limited;

• Setting aside the sale of land to G J Philp-Wright and Pauline Mary Philp-Wright by G J Philp-Wright Limited;

• Requiring G J Philp-Wright Limited and other parties to pay compensation and damages to Anthony Paul Philp-Wright; and/or

• Requiring G J Philp-Wright Limited or Pauline Mary Philp-Wright to acquire Anthony Paul Philp-Wright’s shares in G J Philp-Wright Limited.

The application is to be heard before the High Court at Wanganui on Wednesday, 25 October 1995 at 10.00 a.m. Any person, other than the defendant company, who wishes to appear on the hearing of the application must file an appearance not later than the second working day before that day.
