Public Notice of Amalgamation Proposal

Pursuant to Section 209C (4) of the Companies Act 1955

Notice is given by Bay of Plenty Electricity Limited of an amalgamation proposal affecting the company.

The proposal involves the amalgamation under Part VA of the Companies Act 1955, of Bay of Plenty Electricity Limited and Rotorua Electricity Limited on the basis that Rotorua Electricity Limited will continue as the amalgamated company, the share capital of which will be held as to approximately 53 percent by the shareholders of Bay of Plenty Electricity Limited before the amalgamation becomes effective and as to approximately 47 percent by the shareholders of Rotorua Electricity Limited before the specified percentages to reflect the cancellation at the effective date of the amalgamation of any shares then held by Bay of Plenty Electricity Limited or Rotorua Electricity Limited in each other).

Copies of the amalgamation proposal are available for inspection during normal business hours by any shareholder or creditor of Bay of Plenty Electricity Limited or of Rotorua Electricity Limited, or any person to whom Bay of Plenty Electricity Limited or Rotorua Electricity Limited is under an obligation, at the registered office of Bay of Plenty Electricity Limited situated at 52 Commerce Street, Whakatane or of Rotorua Electricity Limited situated at 7–11 Dinsdale Street, Rotorua and at the Energy Shop, 29 Amohia Street, Rotorua.

A shareholder or creditor of Bay of Plenty Electricity Limited or of Rotorua Electricity Limited, or any person to whom Bay of Plenty Electricity Limited or Rotorua Electricity Limited is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to Bay of Plenty Electricity Limited or to Rotorua Electricity Limited.
